Welcome to Vyndle. Vyndle is a creator platform that connects creators, fans, and brands in one place — a link-in-bio that supports posts and sponsored work. Vyndle is operated by Modic Software Pty Ltd(ABN 38 632 810 390), referred to in these Terms as “Vyndle”, “we”, “us”, or “our”.

These Terms & Conditions (the “Terms”) govern your access to and use of the Vyndle website, apps, and services (together, the “Service”). By using the Service you agree to these Terms. If you do not agree, please do not use the Service.

These Terms are effective on the date shown above. We may update them from time to time as described in Section 11.

1. Eligibility

You must be at least 18 years old to use Vyndle. By creating an account you confirm that you meet this age requirement and that the information you provide is accurate and up to date. You may hold only one account per person.

2. Accounts

Vyndle supports three role types: Creator, Fan, and Advertiser. One person may hold more than one role. You are responsible for safeguarding your login credentials and for all activity that happens under your account. Please notify us promptly if you suspect any unauthorised use.

3. Acceptable use

When using Vyndle you agree not to:

  • Post or share content that is illegal, harmful, or violates another person's rights.
  • Harass, bully, threaten, or impersonate any person or entity.
  • Send spam, unsolicited promotions, or chain messages.
  • Scrape, crawl, or otherwise extract data from Vyndle by automated means without our written permission.
  • Upload content that infringes copyright, trademark, or any other intellectual property right.
  • Attempt to probe, exploit, or bypass the security of the Service.

In addition, the following categories of content and activity are strictly prohibited on Vyndle:

  • Content involving minors — any content that features, sexualises, exploits, or endangers anyone under 18, or that is directed at minors in a way that puts them at risk. Vyndle is not intended for users under 18; creators must not publish material targeting children.
  • Violence — graphic violence, gore, animal cruelty, or content that incites, glorifies, or threatens physical harm against any person or group.
  • Politically sensitive content — partisan campaigning, election interference, propaganda, hate speech, or content designed to inflame political, religious, racial, or ethnic division.
  • Sexual or pornographic content — nudity, sexually-explicit material, sexual services, or any content intended for adult sexual gratification.
  • Gambling — betting, sportsbook, lotteries, casino-style games, or the promotion of any gambling product or service.
  • Class 1B material (crime, violence, and drug-related content)— content that falls within the “Class 1B material” category under the Online Safety (Designated Internet Services—Class 1A and Class 1B Material) Industry Standard 2024. Class 1B material includes: (a) crime and violence material that depicts or advocates criminal activity or violence in a detailed or gratuitous way, excluding material that reaches the threshold of Class 1A extreme crime and violence material; and (b) drug-related material that promotes, instructs in, or facilitates the use, manufacture, or supply of controlled substances. Class 1B material is not permitted on Vyndle.

This list is not exhaustive. We reserve the right to remove any content or account that we reasonably believe violates these Terms or applicable law, and to report illegal activity to the relevant authorities.

As the account holder, you are responsible for ensuring that your account is not used — whether by you or by any end-user you permit to access the Service — in breach of these community standards or in a way that solicits, accesses, generates, distributes or stores Class 1A material or Class 1B material. You must take reasonable steps to ensure any end-user who accesses the Service through your account complies with these Terms.

Vyndle operates under the Online Safety Act 2021 (Cth) and the Online Safety (Designated Internet Services—Class 1A and Class 1B Material) Industry Standard 2024. Vyndle is a designated internet service (DIS) under section 14 of the Online Safety Act 2021 and has self-determined a Tier 2 (moderate) risk profile under the Standard. We also comply with the Basic Online Safety Expectations Determination, which sets out the community-safety expectations applying to services like Vyndle. Prohibited content is grouped into Class 1A, Class 1B, Class 1C and Class 2 categories under those instruments. 4. Creator content & ownership

As a creator, you retain ownership of the content you post to Vyndle. By posting, you grant Vyndle a worldwide, non-exclusive, royalty-free licence to host, display, distribute, and promote that content on and through the Service, solely for the purpose of operating and marketing Vyndle. You are responsible for ensuring that you own or have the necessary rights to everything you upload, including any third-party material, music, or likeness of other people.

5. Payments

Vyndle supports several types of paid interaction:

  • Sponsored collaborations — advertisers can fund paid briefs with creators through Vyndle.

Payment processing is handled by third-party payment providers. Fees, exchange rates, and payout schedules are disclosed at the point of transaction. Vyndle is not a bank or a payment institution; we do not hold client funds on our own balance sheet.

6. Taxes

You are solely responsible for determining, collecting, withholding, reporting, and paying any taxes that apply to your earnings or purchases on Vyndle. Vyndle may provide transaction summaries to help, but those are not a substitute for professional tax advice.

7. Termination

We may suspend or terminate accounts that we reasonably believe breach these Terms, pose a risk to other users, or are required to be removed by law. You may close your account at any time from your account settings. Closing your account does not cancel outstanding payment obligations.

Serious breaches involving Class 1A material under the Online Safety (Designated Internet Services—Class 1A and Class 1B Material) Industry Standard 2024 — which includes child sexual exploitation material, pro-terror material, and extreme crime and violence material — result in immediate, permanent account termination. Those terminations are final and not subject to appeal. Vyndle cooperates with the eSafety Commissioner, the Australian Federal Police, and the Australian Centre to Counter Child Exploitation as required by Australian law, including in relation to evidence preservation and mandatory reporting.

Where Vyndle becomes aware that the Service is being or has been used to solicit, access, distribute or store child sexual exploitation material or pro-terror material, Vyndle may, without prior notice: (i) suspend your access to the Service for a specified period; (ii) impose specified restrictions on your use of the Service for a specified period; (iii) terminate your agreement with Vyndle for the provision of the Service; and/or (iv) remove or delete the relevant material from the Service, or limit access to it. These rights are in addition to any other remedies available to Vyndle.

8. Disclaimers

The Service is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied. Vyndle does not warrant that the Service will be uninterrupted, error-free, or secure. Vyndle is not responsible for the content posted by users and does not endorse any user content.

9. Limitation of liability

To the maximum extent permitted by law, Vyndle's total liability to you for any claim arising out of or relating to the Service will not exceed the total amount you have paid to Vyndle in the twelve (12) months preceding the event giving rise to the claim. Vyndle will not be liable for any indirect, incidental, consequential, or punitive damages.

10. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or via an on-platform banner before the changes take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales, unless your local consumer law requires otherwise.
